These Terms of Service are issued by Pax Sophos LLC, doing business as Grocery Rate. In these Terms, “Grocery Rate,” “we,” “us,” and “our” refer to Pax Sophos LLC d/b/a Grocery Rate. Please read these Terms carefully before using this website.
1. Acceptance of These Terms
These Terms of Service (the “Terms”) govern your access to and use of this website and the information, tools, forms, and other materials made available on it (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Services.
We may modify these Terms from time to time. When we do, we will revise the “Last Updated” date above. Your continued use of the Services after any change takes effect constitutes your acceptance of the revised Terms.
2. Who We Are and What We Do
Grocery Rate operates a merchant-processing transparency service for independent grocery retailers in the United States. We act as an independent sales agent that helps eligible U.S. businesses evaluate and obtain payment-processing services that are provided by third-party banks and payment processors.
Important. Grocery Rate is not a bank, is not a payment network, and is not the processor of your payment-card transactions. We do not ourselves process, clear, or settle card transactions. Any payment-processing services you may obtain are provided by third-party financial institutions and payment processors under a separate agreement between you and those parties. We have no authority to approve, bind, or enter into any such agreement on behalf of any party, and any pricing, terms, or account approval are subject at all times to the final decision of the applicable processor and its sponsor bank.
3. Eligibility
The Services are intended for businesses located in the United States and for the adults who represent them. By using the Services, you represent and warrant that you are at least 18 years old, that you are authorized to act on behalf of the business you represent, and that your use of the Services complies with all applicable laws. The Services are not directed to consumers acting in a personal capacity or to individuals located outside the United States.
4. The Services; No Guarantee of Results
The Services may include general information, educational content, contact and lead-submission forms, the ability to schedule a consultation, an email newsletter, and tools that allow you to submit information for review (including statement-review or “audit” tools). You understand and agree that:
• All information and materials on this website are provided for general informational purposes only and do not constitute financial, legal, tax, or accounting advice;
• Any estimate, comparison, projection, or “audit” result generated or provided through the Services is an illustration based on the information available to us and is not a guarantee of any particular rate, savings, cost, approval, or outcome;
• Whether any business is approved for payment-processing services, and on what terms, is determined solely by the applicable third-party processor and its sponsor bank, not by Grocery Rate; and
• We make no representations, warranties, or guarantees with respect to any third-party payment-processing services, and nothing on this website should be read as such a representation, warranty, or guarantee.
We may change, suspend, or discontinue any part of the Services at any time without notice.
5. Information and Materials You Submit
When you submit information through the Services — including contact details, business information, inquiries, or documents you upload for review (such as processing statements) — you represent and warrant that you have the right to provide that information, that it is accurate to the best of your knowledge, and that providing it to us does not violate any agreement or obligation you owe to any other party. You are responsible for ensuring that any materials you upload do not contain full payment-card numbers, cardholder account credentials, or other sensitive cardholder data; please redact such data before submitting.
6. Our Use of De-Identified and Aggregated Data
Subject to our Privacy Policy and the limitations below, you grant Grocery Rate a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, analyze, and commercialize information and materials you submit — including processing statements and related business data — in de-identified and aggregated form, for any lawful business purpose, including to develop, benchmark, and improve our services, research, analytics, and marketing.
Scope and limitations. “De-identified and aggregated” means information that has been stripped of information that identifies, or could reasonably be used to identify, you, your business, or any individual, and that is combined with data from other sources. We will not publish or disclose your identifiable business financial information as part of this right, and we will maintain the confidentiality of identifiable information as described in our Privacy Policy and as required by our obligations to third parties. Cardholder data and payment-card account data are excluded from this right entirely and are handled only in accordance with applicable payment-industry security standards.
7. Acceptable Use
You agree not to, and not to permit any third party to:
• Use the Services for any unlawful, fraudulent, or deceptive purpose, or in violation of these Terms;
• Submit information that is false, misleading, or that you are not authorized to provide;
• Attempt to gain unauthorized access to the Services, our systems, or any related network;
• Interfere with or disrupt the integrity or performance of the Services;
• Copy, reproduce, scrape, republish, or create derivative works from any part of the Services except as expressly permitted; or
• Use the Services to transmit any virus, malware, or other harmful code.
8. Intellectual Property
The Services, including all text, graphics, logos, designs, and content created by or for Grocery Rate, are owned by Grocery Rate or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your own internal business evaluation. All rights not expressly granted are reserved. Trademarks, service marks, and trade names of third parties that may appear in connection with the Services are the property of their respective owners, and nothing in these Terms grants you any right to use them.
9. Third-Party Links and Services
The Services may contain links to, or interoperate with, third-party websites, applications, and services, including those of the banks, processors, and technology providers that provide payment-processing services. We do not control and are not responsible for those third parties, their content, their products or services, or their privacy or business practices. Your dealings with any third party are solely between you and that third party, and are governed by that third party’s own terms and agreements.
10. Disclaimer of Warranties
The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Grocery Rate disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any information, estimate, or result provided through the Services will be accurate, complete, or reliable. Grocery Rate makes no warranty or representation regarding any third-party payment-processing services, pricing, approval, or savings.
11. Limitation of Liability
To the fullest extent permitted by law, Grocery Rate and its members, managers, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business opportunities, data, or goodwill, arising out of or relating to your use of, or inability to use, the Services, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of Grocery Rate arising out of or relating to the Services or these Terms will not exceed one hundred U.S. dollars ($100.00). Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you; in such cases, our liability is limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Grocery Rate and its members, managers, officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your submissions, your violation of these Terms, or your violation of any law or the rights of any third party.
13. Dispute Resolution; Arbitration; Class-Action Waiver
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have disputes heard by a jury.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) that cannot be resolved informally will be resolved by final and binding individual arbitration administered by a nationally recognized arbitration provider under its then-current commercial rules. The arbitration will be seated in the State of Wyoming, or conducted remotely where the arbitrator permits, and judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. You and Grocery Rate agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of a representative or class proceeding.
Jury-trial waiver. To the extent any Dispute is not subject to arbitration and proceeds in court, you and Grocery Rate each waive any right to a trial by jury.
If any portion of this Section is found to be unenforceable, the remainder of this Section will remain in effect, except that if the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court.
14. Governing Law and Venue
These Terms and any Dispute are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-laws principles. Subject to the arbitration provisions above, the exclusive venue for any permitted court proceeding will be the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
15. Suspension and Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. The provisions of these Terms that by their nature should survive termination — including Sections 6 (De-Identified and Aggregated Data), 8 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), and 14 (Governing Law) — will survive.
16. General
Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Grocery Rate regarding the Services and supersede any prior understandings.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
No third-party beneficiaries. Except as expressly stated, these Terms do not create any third-party beneficiary rights.
